12. DISPUTE RESOLUTION

Informal Resolution First

Before formal action, both parties agree to attempt resolving disputes through written notice and good-faith discussions for at least 30 days.

Binding Arbitration

If unresolved, disputes will be settled by binding arbitration (not in court or jury trial) under the rules of the American Arbitration Association (AAA). Proceedings may take place online, by phone, or in person. Court involvement is limited to enforcing or challenging arbitration outcomes.

Any unenforceable parts will instead be handled in court as outlined above. Claims must be brought within 1 year of the incident.

Limitations on Arbitration

Arbitration will only apply to your individual dispute with us. To the fullest extent allowed by law:

• Arbitration must be done individually, not as a group or class action.
• You cannot bring a claim that represents others or the public.
• Cases cannot be bundled with other disputes.

Arbitration does not apply to:

• Intellectual property disputes
• Data misuse, theft, or unauthorized access
• Requests for injunctions

• Your use does not create any partnership, employment, or joint venture relationship with us.
• These Terms will not be interpreted against us simply because we drafted them.
